These Terms of Service (“Terms”) govern your use of DeduktPro, a comprehensive HR and payroll solution developed by Equal Digital Nigeria Limited (“EDNL,” “we,” “our,” or “us”). By subscribing to and using DeduktPro, you agree to these Terms, in addition to EDNL’s General Terms of Service.

1. Scope of Services

DeduktPro provides:

  • HR management (onboarding, offboarding, employee records).
  • Payroll automation (salary calculation, tax deductions, remittances).
  • Attendance tracking (geo-location clock-in/out, absence management).
  • Communication tools (announcements, performance reviews).
  • Financial wellness add-ons (loans, savings, benefits).

2. User Responsibilities

  • Employers must ensure accuracy of employee data uploaded into the system.
  • You are solely responsible for payroll compliance with applicable tax and labor laws.
  • Employees must provide truthful information when using the platform.

3. Subscription & Fees

  • DeduktPro is offered on a subscription basis (monthly, quarterly, or yearly).
  • Fees are based on selected plan and number of employees managed.
  • Failure to pay may result in suspension of access.

4. Data Processing & Confidentiality

  • EDNL acts as a data processor on behalf of employers.
  • Employers are the data controllers and responsible for lawful collection of employee data.
  • DeduktPro implements encryption and access controls to safeguard information.

5. Compliance & Payroll Accuracy

  • DeduktPro provides automation tools but final responsibility for compliance rests with the employer.
  • EDNL will not be held liable for penalties due to inaccurate or incomplete employer data.

6. Third-Party Integrations

  • DeduktPro may integrate with third-party service providers (banks, payment gateways, benefits providers).
  • EDNL is not responsible for downtime or errors caused by third-party services.

7. Limitations of Liability

  • EDNL is not liable for indirect damages including lost profits, payroll errors caused by incorrect data entry, or connectivity issues.
  • Our maximum liability is limited to subscription fees paid in the last 12 months.

8. Termination

  • Employers may cancel subscriptions anytime; however, prepaid fees are non-refundable.
  • EDNL reserves the right to suspend or terminate accounts for misuse or breach of Terms.

9. Governing Law

  • These Terms are governed by the laws of the Federal Republic of Nigeria.
